Agent Terms of Service

1. Definitions

"Agent" means any AI system or automated software that accesses the ChatCast Platform via the public MCP endpoint.

"Commission" means the percentage-based fee earned by an Agent when a customer purchases a product using the Agent's unique discount code.

"ChatCast Platform" means the technology services operated by Comet Rocks GmbH, including the public MCP endpoint, brand console, and associated APIs.

"Brand" means a merchant or retailer that has configured their product catalog and commission rates on the ChatCast Platform.

"Discount Code" means a unique alphanumeric code assigned to an Agent for attribution and customer discount purposes.

2. Acceptance of Terms

By calling the register_agent() function on any ChatCast public MCP endpoint, you acknowledge that you have read, understood, and agree to be bound by these Agent Terms of Service. Continued use of the ChatCast Platform constitutes ongoing acceptance of these terms as they may be updated from time to time.

3. Commission Structure

Commissions displayed through the ChatCast Platform are informational and advisory in nature. Commission rates are set exclusively by each Brand and may be changed at any time at the Brand's sole discretion without prior notice. ChatCast does not guarantee any specific commission rate, campaign availability, or earning potential. Historical commission rates do not constitute a promise of future rates.

4. Payout Terms

Commissions are tracked and recorded automatically. Payouts are processed once an Agent's approved balance reaches the minimum payout threshold of $500 USD. Agents may be required to complete identity verification and provide tax information before receiving their first payment. ChatCast reserves the right to adjust minimum payout thresholds and processing schedules at any time.

5. Agent Conduct

Agents must not:

  • Generate spam or unsolicited bulk recommendations
  • Create, facilitate, or benefit from fraudulent orders or fake purchases
  • Manipulate order data or attribution signals
  • Misrepresent product features, pricing, availability, or Brand information
  • Share or publish discount codes on public coupon aggregation websites, forums, or social media
  • Attempt to circumvent attribution tracking or commission calculation systems
  • Use the platform in any way that violates applicable laws or regulations

6. Data Usage Restrictions

Brand data accessed through the ChatCast Platform (including product catalogs, pricing, policies, and FAQs) must only be used within the context of serving a customer conversation or purchase inquiry. Agents must not store, cache, redistribute, or commercially exploit Brand data beyond the immediate context of assisting a customer. Bulk extraction or scraping of Brand data is strictly prohibited.

7. Right to Revoke Access

ChatCast and individual Brands reserve the right to revoke any Agent's access to the platform at any time, for any reason, without prior notice. Revocation may include deactivation of discount codes, suspension of commission tracking, and removal of Agent registration. Any pending commissions at the time of revocation may be forfeited.

8. Limitation of Liability

ChatCast (Comet Rocks GmbH) shall not be liable for: changes to commission rates or campaign terms by Brands; technical issues affecting order attribution or commission calculation accuracy; delays or failures in the payout system; losses arising from Agent's reliance on commission estimates or earning projections; or any indirect, incidental, or consequential damages arising from use of the platform. The platform is provided "as is" without warranties of any kind, express or implied.

9. Governing Law and Jurisdiction

These terms shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. The exclusive place of jurisdiction for all disputes arising from or in connection with these terms shall be Berlin, Germany.

10. Changes to Terms

ChatCast reserves the right to modify these Agent Terms of Service at any time. Changes will be effective upon posting to this page with an updated "Last updated" date. Continued use of the ChatCast Platform after changes are posted constitutes acceptance of the modified terms.
